1. Who we are
SustainLedger is a trading name of Donald Simpson, a sole trader based in Scotland ("we", "us"). Our address is on our Legal information page. Email: support@sustainledger.co.uk.
2. Business customers only
We sell only to businesses. When you buy, you confirm that you're buying for a business named at checkout (the "customer"), not for personal use, and that you're authorised to accept these terms for it.
3. What we provide
Payment practices reporting tool. Software that runs in your web browser and calculates the figures for the UK payment practices report and a check against the PPN 018 thresholds, from a file you load. Your file is processed on your own computer and is not uploaded to us.
Carbon Reduction Plan service. Paused while we build a new version. Any plan supplied before the pause was a draft for you to check against PPN 06/21 and your contracting authority's requirements; you remained responsible for what you submitted.
4. What the tool is, and your responsibilities
The tool is software that calculates figures from the data you provide, using our reading of the government's published guidance. It is not accounting, legal or other professional advice, and we do not prepare, approve or file your report. Where the guidance is unclear, the tool makes the assumptions listed in your results and audit pack; you should check they suit your business. You are responsible for the accuracy and completeness of your data, for checking the figures against your own records, and for the report your organisation publishes.
5. How ordering works
You can run the tool on your file before paying. To buy, enter the customer's name, the company the licence is for, and your email address; check and correct them; tick that you're buying for a business and that you accept these terms; then select "Pay with Stripe". Stripe shows the price and lets you check your details before you pay. The contract is made when Stripe confirms your payment. We then show a confirmation and email your licence key, receipt and invoice. The contract is in English. We keep a record of your order and the version of these terms you accepted; ask us for a copy at any time.
6. Your licence
A licence lets one company (the one named when you buy) use the tool for 12 months from the date of payment. Reports, figures and audit packs you create during that time are yours to keep and use for that company's reporting, including after the licence ends. An accountancy practice needs a licence for each client company. Please don't share your licence key or use it for another company. If that happens by mistake, tell us and we'll help put it right; we may end a licence that is deliberately misused, after telling you why.
7. Who owns what
We own the tool and its software. You own your data and the outputs you create with it. You may not copy, resell or reverse-engineer the tool, except where the law allows it.
8. Price and payment
The price is shown before you pay (currently £395 per licence). We are not registered for VAT, so no VAT is charged. Stripe takes the payment and sends your receipt and invoice.
9. Refunds
You can check that the tool works with your file before you pay, so we give refunds when we haven't delivered what we describe, not on request. If the tool can't process your file, or a figure is wrong under the method shown in the tool and your audit pack, tell us at support@sustainledger.co.uk when you find the problem. We'll try to fix it within 5 working days; if we can't, we'll refund you in full. If we withdraw the tool, or it's unavailable for more than five days in a row during your licence, we'll refund the unused part of the fee. We don't refund where the tool worked as described, for example if you change your mind, your data contained errors, or you disagree with an assumption the tool showed you.
10. Refunded or disputed payments
A licence ends if its payment is refunded in full. It's paused while a card dispute about the payment is open, comes back if the dispute is decided in our favour, and ends if it isn't. A partial refund doesn't end the licence unless we tell you it does.
11. Availability and changes
We aim to keep the tool available but can't promise it will always be available or error-free. Government guidance can change; we update the tool when we can, and each audit pack records the tool version and the guidance it follows.
12. Our liability
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that the law doesn't allow us to limit.
Subject to that, we are not liable for loss of profit, revenue, contracts or tenders, for fines or penalties, or for indirect or consequential loss, and our total liability to you for all claims connected with a licence, in contract, delict (including negligence) or otherwise, is limited to the fee you paid for that licence.
This reflects the low price, the free trial before you buy, and that you check the figures and remain responsible for your report.
13. Who can rely on our services
The tool and its outputs are provided for the customer only. We don't intend anyone else to have rights under these terms, including under the Contract (Third Party Rights) (Scotland) Act 2017.
14. Events outside our control
We're not responsible for delays or failures caused by events outside our reasonable control. If that stops the tool working for more than five days in a row, section 9's refund for unavailability applies.
15. Notices and transfer
We'll contact you at the email address you gave when you bought; contact us at support@sustainledger.co.uk. We may transfer these terms to a company we set up to run SustainLedger; your rights won't be reduced.
16. Changes to these terms
The version you accepted when you paid applies to your licence. If a later change would affect your licence for the worse, we'll email you at least 30 days before, and you can end the licence and get a refund for the unused part instead.
17. Complaints
If something goes wrong, email support@sustainledger.co.uk. We aim to reply within 5 working days.
18. General
These terms and the price and licence details shown when you buy are the whole agreement between us (this doesn't affect liability for fraud). If part of these terms can't be enforced, the rest still applies.
19. Law
These terms are governed by the law of Scotland, and the Scottish courts have exclusive jurisdiction.
